1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the Licentra platform, website, and related services (collectively, "Service") provided by Licentra ("Company", "we", "us").

By registering for an account, accessing the dashboard, or using our API, you agree to these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Service Description

Licentra provides a cloud-based software license management platform that enables developers and software vendors to:

• Generate, distribute, and validate software license keys
• Manage product releases and automatic software updates
• Track license activations and usage analytics
• Integrate license management into their products via REST API and SDKs
• Manage customer subscriptions and billing

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. Accounts & Access

3.1 Registration

To use Licentra, you must create an account with a valid email address and accurate information. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

3.2 Account Security

• You must immediately notify us of any unauthorized use of your account
• You may not share your account credentials with others
• We recommend enabling two-factor authentication
• You are responsible for all actions taken through your account

3.3 Age Requirement

You must be at least 18 years old to create an account and use the Service.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to distribute malware, viruses, or other harmful software
• Attempt to reverse-engineer, decompile, or hack the Licentra platform
• Use the Service to infringe on any intellectual property rights
• Engage in any activity that disrupts or interferes with the Service or its servers
• Use automated scripts to access the Service in a manner that exceeds rate limits
• Resell or sublicense the Service without our written permission
• Use the Service to generate or distribute illegal content

Violation of this section may result in immediate account suspension without refund.

5. Payment & Billing

5.1 Subscription Plans

Licentra offers multiple subscription plans (Starter, Pro, Agency). Paid plans are billed monthly or annually in advance. Current pricing is available on our pricing page.

5.2 Payment Processing

Payments are processed securely by Paymob and Stripe. We do not store your full card details. By providing payment information, you authorize us to charge your payment method for the applicable fees.

5.3 Refunds

We offer a 30-day money-back guarantee on all paid plans. If you are not satisfied, contact us within 30 days of your initial purchase for a full refund. Refunds are not available after 30 days or for renewal charges.

5.4 Plan Changes

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately (prorated). Downgrades take effect at the end of the current billing period.

5.5 Late Payment

If a payment fails, we will retry the charge and notify you by email. Accounts with overdue payments may be suspended after 7 days. Data is retained for 30 days after suspension before deletion.

6. Intellectual Property

6.1 Our IP

The Licentra platform, including its software, design, trademarks, and content, is owned by us and protected by intellectual property laws. You may not copy, modify, or distribute our platform without written permission.

6.2 Your Content

You retain full ownership of your products, license data, and customer information. By using the Service, you grant us a limited license to process and store this data solely to provide the Service to you.

6.3 Feedback

If you provide suggestions or feedback about the Service, you grant us a royalty-free license to use that feedback to improve our products, without any obligation to you.

7. Your Data

You are responsible for all data you upload or process through the Service. You represent that you have the right to use this data and that doing so does not violate any laws or third-party rights. Please review our Privacy Policy for details on how we handle your data.

8. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access to the Service. We are not liable for downtime caused by factors outside our reasonable control, including internet outages, third-party service failures, or force majeure events.

Planned maintenance will be announced at least 24 hours in advance where possible. Emergency maintenance may occur without prior notice.

9. Termination

9.1 Termination by You

You may cancel your account at any time from your billing settings. Upon cancellation, your access to paid features will continue until the end of the current billing period.

9.2 Termination by Us

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or fail to pay applicable fees. We will provide notice where reasonably possible.

9.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will provide a data export for 30 days after termination, after which your data will be permanently deleted.

10. Limitation of Liability

To the maximum extent permitted by law, Licentra shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to:

• Loss of revenue, data, or business opportunities
• Unauthorized access to your account by third parties
• Interruption or cessation of the Service
• Errors or inaccuracies in the Service

Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of Egypt. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Egypt. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
